Hyper-V 2008 R2 SP1 is not opening up the services or disk management and shows windows activation unavailable

I have 2 hyper-v hosts and backing up the 2 vhd from host1 to host2. Than when I test the backups one vhd is working great the second one which has exchange has problems with services disk management and EMC does't seem working. Any help will be appreciated.

Do you use a KMS service for the activation? Or have you changed the license to MAK?
VL with KMS service tries to contact the MS Servers from time to time, at least following your description, theres seems to be an activation issue.
W2008 and Win7 are preconfigured to use KMS, otherwise you have to change it to MAK licence. So possibly an issue that the server denies access to some functions due to the license issue.

if you run slmgr -dlv from the faulty machine (elevated cmd prompt) do you get the expected results?

you have 2 identical machines right down to their SID.. not a good idea. guessing this is for a hot backup solution. Using a non-exchange aware backup solution on an exchange server is never a good idea as you lose the transaction logs.

Are you backing up from within the virtual machines or from the hosts?

I am backing up from hosts and the cloned one not connected to network unless  I test it by disconnecting the original one.
I use the backups for only testing if they work fine. They are not  production servers. I can activate them on the phone. But the problem is one of them after creating a new VM and adding the back up VHD suppose to show activate in 3 days but its shows unavaliable.
The main problems are services.msc shows blank screen and hangs after a while and also disk management hangs as well.

Mmh, when I clone a machine, I just copy the VHD, create a new VM and attach the VHD copy.
Then sysprep to change the SID. It has to activated again, but never seen your experiences.

ipconfig /all is not coming out with any results because I did not connect virtual NIC. slmgr -dlv did nothing. but all of a sudden it started working by giving mmc  stop working massage. Is there any idea what happened.

Have you tried to give this server an IP and connect it?

Oh, by the way, sometimes I should read more in detail.
There is an exchange on that VHD, right?
Exchange without network connection is a bad idea...
Dependend from the version, it can take hours to boot.
Give the server the network connection it had on the server, where you made the backup.
You may try a different IP, but if IP4 / IP6 was enabled, enable it on the other host too.
