If you're new Exchange server is fully functional even with the 2003 server down and the 2003 server has been orphaned, then do the following:

Remove the computer from Active Directory U&C.

You will have to go into ADSIEdit and remove the server from the First Administrative Group.

If you are unable to uninstall Exchange using the setup files, you can manually remove it by following the instructions in this article http://support.microsoft.com/kb/833396

The store driver couldn't deliver the public folder replication message "Folder Content (PublicDBEX02@company.com)" because the following error occurred: Cannot open mailbox /o=Company/ou=First Administrative Group/cn=Configuration/cn=Servers/cn=OLDserver/cn=Microsoft System Attendant..

MSExchange Store Driver

So the Legacy server is gone .... was it just a member server ?

If so your only left with deleting DNS and AD Computer object if you want to
