Upgrading / Migrating Questions for Exchange 2010 SP3

I have two virtual Windows 2008 R2 servers running Exchange 2010 SP3 configured in a DAG. Both host all roles. I've been tasked with migrating these two servers from their VMware environment to a Hyper-V environment so that the original ESX hosts can be repurposed. No matter what conversion tool I use though (Starwind V2V Image Converter or MIcrosoft's Virtual Converter) the migration / conversion always in failure.

Which led me to the decision that perhaps I could just bring a new 2012 server online, load up Exchange, join it to the DAG, and then retire the original machines rather than try to configure them.

But Im left with some questions about that process

1) What pitfalls am I not considering in thinking of this route?
2) for the owa, what happens if I specify the same domain name for its hosting as one of the existing servers? If I DONT use an existing name then I have to buy new certs. Im ok with the owa not working / having DNS resolution issues during the transition, but I dont want Exchange throwing up all over itself because I named two OWA references the same thing.
3) Is it possible to use a placeholder name for the owa domain name, and then change it to one of the original values after the original server is offline? If so, is that process documented anywhere?
