What version of DPM are you using?  If it's 2007, take a look at this kb at microsoft: http://support.microsoft.com/kb/948936

This one may be unrelated, but I did come across this item relating to the DpmSync utility: http://technet.microsoft.com/en-us/library/cc161536.aspx.

If none of the above, I do have a few housecleaning questions: does the DPMDB database already exist in the instance (if yes, can you try renaming it), do you have the Client Tools SDK installed on the SQL server instance, is the SQL Server instance on the same server as DPM, and finally what version of DPM is this?

This is DPM 2012 SP1 (upgrade from server 2008R2 to server 2012)
SQL instance is on the same server as DPM
DPM 2012 SP1 was backed up
Server 2008R2 was upgraded to Server 2012 (clean install)
After upgrade, DPMDB was restored from backup using SQL Server management studio (upgrade was successful)
After restoring DPMDB,I ran DPMsync -sync and it failes

I don't think you're supposed to restore the DPM database separately (i am pretty sure DpmSync does that, per the first link I posted to the MS KB).  I would, of course, hang on to all the backups (that way you can always reinstall the DPMDB database if you need to), but I would try deleting the DPMDB database and use just that DPM2012 SP1 backup to DPMsync and see what happens.  I would have hoped there would be some more descriptive errors to handle this if it is indeed the issue.

edit:  i think that may be the issue, check here: http://technet.microsoft.com/en-us/library/hh757865.aspx
