You should do AD first.

Use wisesoft bulk AD users to replace old UPN values with new values through csv
You have to have csv file mapping with sAMAccountName and corresponding new UPN
something like below
sAMAccountName,userPrincipalName
user1,user1@domain.com

where as user1@domain.com is new UPN

Upload this file through tool csv update feature, select sAMAccountName as binding attribute, it will change all users UPN as per csv file.
http://www.wisesoft.co.uk/software/bulkadusers/csv_update.aspx

The tool is freeware
Test it for test accounts before proceeding to production

once you updated it on premise, it will automatically get updated in O365 as well provided that you have DirSync installed on premise.

U mean to say there is issues with DirSync ?

OR

You are saying that DirSync will not sync UPN ?

As far as I know, DirSync will sync on premise updated UPN to O365 directory
