Virtual Server Offline

We have a server that is used for check scanning and should it be Non operational we could not function

We have the option of creating a Disaster Recovery Server.  We have the following 2 options on making this work

We would have to purchase another licence (which is expensive) and the production server would replicate the live data to the DR server at another location. Should the main server be down we would run a script on the computers to point the users to the DR server

Option #2  We create another server at another location using VM Ware (we have to keep it turned off or offline because we would NOT be purchasing a license and restore from the backup should the production server go down

If we created the DR  server as a virtual server I was told we could keep it up but it would have to be offline

I am not a VM expert but I need to know if this is possible? If we can do this what would be the advantages\disadvantages of keeping it offline  and could it be done if we are ONLY using the free version of VM Ware?

why not use hyper-v and its replication
