Upgrading Windows 2000 SP4 to Windows XP SP2

Hi everyone,
I'm trying to upgrade win2k sp4 to win xpsp2 - I get past the copying install files and after the 1st reboot just past the Press f6 to install drivers) it stops with the error:-
"The file netburn.sys cannot be found"
press any key to continue.
Then it says its failed and I can't get any further.
I've done a search for the error, but getting nowhere fast.
I know it's an old op system and this is probably 10 years too late, but if anyone can throw any light on it, I would be sincerely grateful.
I've looked in the temp install folder and the file is definitely there - I also found reference to it in a inf file - system32\drivers so I created a drivers folder in the temp system32 and stuck it in there - still no joy.

This happens with an original Upgrade XP Pro CD and a retail Full version XP Pro SP2 CD.

So now I am totally stumped.
Any info to fix most welcome - trying hard to avoid a fresh install due to some bespoke software running on the PC that no one quite knows how it works, but it does.
Thanks for any help.
Regards
Mark

Uninstall the software that uses that driver and EXPECT it to not reinstall.  It's a block for the upgrade.
According to http://www.runscanner.net/lib/NetBurn.sys.html, the file is:
Netburn.sys with description Paragon NetBurning Driver is a driver file from company Rocket Division Software belonging to product StarPort Storage Controller.
The file is digitally signed from Paragon Technologie GmbH - VeriSign Time Stamping Services Signer - G2
