In place windows 2008 r2 standard upgrade to 2012 standard with veeam running with sql 2012 express

As above.  Has anyone done this without any issues?

upgrades tend to be messy a clean install is always the recommended route. If you still want to continue, what roles are currently installed on that server?

just iis and file services.

If you don't have another server then go for the in place upgrade. Just make a backup of everything before you start with the upgrade. It should work all fine after the upgrade but the backup will give you a chance to rollback if any issue is found.
