Old Exchange 2003 server decommission.

We moved all our email from on premise to Office 365 hosted email over a year ago.  A year ago I simply turned my exchange 2003 server off.  The server has been off every since.  We do not use DirSync.  Now I am ready to upgrade to 2012 domain.   What do I need to do about the exchange 2003 server (we are getting rid of the server)?

Is it possible to just remove exchange from the active directory.  I don't really need to uninstall from the server because we getting rid of the server immediately.
