replace unless....

Hello all,

I'm trying to replace text in an xml file. I need to change all instances of '&' unless it is part of the structured xml... like & or '

For example  the original lines look like this:
<Link Name="data\obreggav" Comment="DFS link to homeshare for   Gavin    O&apos;Bren  " State="OK" Timeout="300" >
		<Target State="ONLINE" >\\MyServer.my.domain.com\data_MyServer_vol102\obregav</Target>
	</Link>
<Link Name="DataShared\datagroup\stpf&amp;s" State="OK" Timeout="300" >
		<Target State="ONLINE" >\\OtherServer.my.otherdomain.com\shared4_OtherServer_vol304\stpf&s</Target>
	</Link>

And I need it to look like this:
<Link Name="data\obreggav" Comment="DFS link to homeshare for   Gavin    O&apos;Bren  " State="OK" Timeout="300" >
		<Target State="ONLINE" >\\MyServer.my.domain.com\data_MyServer_vol102\obregav</Target>
	</Link>

I'm not too good with regex but I think this should do what you're looking for:

(Get-Content C:\xmlfile.xml) -replace "(?!&amp|&apos)([&]+)","&amp;" | Set-Content C:\newxmlfile.xml

You're a star! That seems to work in my test xml.  I'll give it a spin on the prod stuff (multiple files over 1500 lines!)
