Are you trying to open the solution or the project?  If you open the solution file, then the you should get an upgrade wizard.  This will upgrade the solution and project so that you can use them with 2012.

What version of Visual Studio 2012 are you using?
If it is not PRO or Higher - You cannot open a solution, only a single project.
If it is the free version, this is it's limitation by default.
Please let me know.
Problem: 'Lol.rptproj' cannot be opened because its project type (.rptproj) is not supported by this version of the application. To open it, please use a version that supports this type of project. in Visual Studio 2008.

Solution: Install "Business Intelligence Development Studio" from the SQL Server 2008 installer.

If you do not have this, you may be able to download the developer version from MSDN.
