Terminal Server Licencing Question

I have 1 x 2008 Terminal Server and 1 x 2012 Terminal Server.
Can I hold the licence server on another 2008 server and configure the 2012 server to connect to the 2008 Licencing Server?

Unfortunately, this doesn't work and is not supported.  Latest version of RDS CALs cannot reside on an older version of Windows.  Below is a link to an interoperability matrix:

Mohammed is correct.. you would need to put the tslicensing server on the Win2k12 server, and then have the Win2k8 server connect to it.
