Honestly now I have worked for a few companies that were in a serious state IT wise when I started there this reminds me of one, why would we create a new forest?
Ous from windows 2008 to new forest.Moving OU's between forest is not possible. You will only be able to migrate the following...
- user accounts
- computer objects
- groups
- contacts
See the below link for details

Also you do not have to create a new forest just create a new UPN Suffix. If you want to go to 2012 you can upgrade within the forest as well.

You would stand up a new AD Forest, setup DNS and a Forest Trust between the forests and then use ADMT to migrate Users to the other forest.
