Is one 2012 product key good for being installed on two VMs?

We have VMware.  We want to get clarified whether we can use one Win server 2012 R2 product key to install on two VMs on the VMware environment. Does it comply with Microsoft software agreement??

Yes, it does.  MS licensing is baed on honor system.

Bryant is incorrect - you DO NOT need 2 licenses for two VMs in 2012.  

A key is not a license.  A key enables your license.  You can use the same key for multiple installs.  If you use it too many times or potentially on different hardware you may have problems - but even then, you can usually call Microsoft and provided the key hasn't been stolen, they will usually help you.

If you are audited, you must be able to provide proof that you your usage is in line with the licenses you own.

Yes it complies.

A single server 2012 license can be used for two separate server2012 virtual machines providing both VMs reside on the same Host machine.

This same license can be used only once if being installed in any other configuration.

EX 1:
Two server 2012 VMs using the same Key reside on the very same Hyper-V or VMWare Host is allowed. The Host will need its own separate licensing.
In your case, using VMWare, you can use the same license for two VMs on the same Host/ Cluster

EX 2:
A physical Hyper-V server2012 Host is using a Key. Using the same exact Key for anything else is NOT allowed, even for a server2012 VM on that Host.

What type of license key are you utilizing? Volume License I would presume since you have VMware.  

If so yes the same key should be used. But if you have volume licensing you should setup a KMS server VM on your network and that will do your activations for you.
