Looking to Virtualize Exchange Server 2007 running on Windows Server 2003 64 bit
I am planning to virtualize a Windows Server 2003 64 bit machine that is running Exchange Server 2007 using Disk2VHD and then run the virtualized server on a new Server 2012 R2 Hyper-V host. The Exchange server hosts about 75 mailboxes. I plan to stop all of the Exchange services before virtualizing. Is there anything else that I need to look out for?
I would use some imaging software like ShadowProtect, you are going to be restoring to new hardware so going to want to do HIR and strip out the drivers. Chances are you get a BSOD on boot otherwise

I have done this in the past using imaging software no issues, Adam has a good point though, I have only done it as a DR, if you are all good then build a new VM with Exchange and migrate the mailboxes
Regardless if Exchange 2007 is still in support only until April 2017, it is not supported in anyway, shape or form on Windows 2003.
If you want to virtualization Exchange, at the very least build a Windows 2008 R2 server with Exchange 2007, then migrate mailboxes to it, and then decommission the Windows 2003 server with Exchange 2007.

Thanks for the help; I ended up setting up a new 2012 VM and installing Exchange 2013 with coexistence. So far so good.
