Need suggestions from Upgrading the File server

Hi,
We have a File server (windows 2003) which we would like to upgrade to 2012 or possibly even 2016.

The way we are thinking of doing it is, create a new VM with 2012/2016 and clone/migrate things over
My question is what are some way of making sure the transition is seamless? I know i can disconnect .vhds and attach to new vm, also the security settings will migrate over too. But what about Share permissions, folder management, quota management etc. How can i clone those to new vm,

Upgrade? Is this 2003 64bit?

Since he mentioned moving a virtual drive, I don't think in-place upgrading was being considered. A migration to a newer server, software or hardware, is still an upgrade in a generic sense.
