Windows Server 2016 CALs can someone explain to me what I need

We need to upgrade one of our servers but Dell no longer has Server 2012 available, so they are quoting me Windows server 2016.  
How many CALs do I need to purchase so that we stay in compliance with our likening?
This server, not a DC, is accessed by 12 clients.  Do I just need 12 licenses or since it is on a domain do I need to purchase a whole set for all the clients that could access it.

Is it a file server? If your users are just accessing shared folders they don't need a license to do that. All you would need is a license for the server itself. Your users licenses would fall under the Domain Controller.

Dell's site should allow you to customize a server purchase, and you should absolutely do that, because it will allow you to select the option to have downgrade media included in your order. MS doesn't sell server 2012 anymore, only 2016, so you need to get the 2016 server license, but make sure the order includes downgrade media so you can install 2012 R2 on there.
