Im looking for Step By step directions for demoting sbs2003 and premoting Server 2012 R2 stnd.

I am going to be Migrating a SBS2003 server to a Server 2012 standard R2 server.

I have been looking online for step by step directions to get this done.
They had another IT company that setup the 2012 server in VMware.
They already replicated active directory and DHCP and DNS on the 2012 server.
The SBS2003 server is on a physical Machine so what we intend on doing is back up the SBS server into a VHD or VHDK using disk2vhd. and attaching it to VMware as a guest. so if anything goes wrong we can just put the physical server back online.

We will also be setting up StorageCraft backup before starting the migration so if I need to restore the 2012 server in case something goes wrong and we have to start over.

Consider it a migration from SBS 2003 to another system.  Follow the decommissioning steps for that.

In short,

1. Uninstall Exchange
2. Remove SBS group policies
3. Transfer FSMO roles if necessary
4. Demote the SBS server.

ok is there a more detailed step by step instructions?
There was... but 2003 hasn't been supported in years and I can't find the document on Microsoft's site...

ok i went to that site and it only offers the 6.0 or 6.2.0.1
6.0 says it supports server 2003 R2 but it does not say SBS2003
So I would have to run disk2vhd then run the converter tool on the VHD file?
6.2 is the latest and you may want to try and check if it works with 2003, otherwise you will need to find an older version.

disk2vhd is useless! not going to work!

You cannot just IMAGE a server to a VHD, and insert into a server and expect it to work!

and VMware uses VMDK - not VHD!
How about if I use the Free Veeam agent and backup and restore into a new VM Guest machine?
The reason I didn't suggest that, is Free Veeam Agent is a new software product, released long after Windows 2003!

It was released 15 years after 2003 - it's NOT SUPPORTED!!!!
